1. Nature of the service
Togary is an online platform and real estate broker specialising in commercial property in the Arab Republic of Egypt. No residential property is listed.
Togary is not a party to any sale or lease contract, does not own the assets listed, and does not guarantee that any transaction completes. Its role is to introduce the parties and manage the negotiation through to contract.
2. Listing an asset
The person listing warrants that they are the owner or hold a valid written mandate, that the information supplied is accurate, and that the asset is free of any dispute or attachment preventing disposal.
No listing is published before Togary has reviewed the ownership documents and agreed the advertised price in writing. Togary may refuse or withdraw any listing without giving reasons.
The lister's contact details are not published on the platform and are not disclosed by Togary until qualification is complete and the brokerage agreement is signed.
3. Fees
On a sale, Togary's fee is 1% of the transaction value, payable by the seller alone. The buyer pays no commission.
On a lease, Togary's fee is half of one month's rent from the landlord and half of one month's rent from the tenant, payable on signature of the lease.
Sale services are limited to assets with an asking price of not less than ten million Egyptian pounds.
The fee accrues on signature of the preliminary contract and is payable on completion, unless agreed otherwise in writing.
Togary charges no listing fee and takes no payment up front from either side.
4. Non-circumvention
A party introduced by Togary to an asset or to another party undertakes not to negotiate or contract in respect of that asset outside the platform, whether directly or indirectly, and whether through itself, its affiliates, its relatives or its companies.
This undertaking runs for twelve months from the date of the documented introduction. If a transaction completes within that period in breach of this clause, Togary's full agreed fee becomes payable.
An introduction is documented by sending the asset data pack to a party, by arranging an inspection, or by any written communication identifying the asset. Togary keeps a timestamped record of these events.
5. Brokerage agreement
Before the parties are introduced to each other, each signs a separate brokerage agreement identifying the asset, the fee and when it accrues, the duration of the non-circumvention undertaking, and the term of the mandate.
Using the platform or submitting an enquiry constitutes acceptance of these terms, and does not replace signature of the brokerage agreement at the point of serious interest.
6. Limits of liability
Togary takes reasonable care in verifying information but does not warrant the accuracy of every statement supplied by third parties. Each party remains responsible for its own legal and technical due diligence before contracting.

7. Governing law
These terms are governed by Egyptian law, and the courts of Cairo have jurisdiction over any dispute arising from them.
